These Terms and Conditions of Sale ("Terms of Sale") govern the purchase of products from SSOLES LLC through ssoles.com, at events, or through any other sales channel where these Terms of Sale are presented or incorporated.

In these Terms of Sale, "SSOLES," "we," "us," and "our" refer to SSOLES LLC. "Customer," "you," and "your" refer to the person or organization purchasing or attempting to purchase a product from SSOLES.

1. Acceptance of These Terms

By placing an order, completing a purchase, or accepting delivery of an SSOLES product, you acknowledge that you have read and agree to these Terms of Sale.

Your purchase is also subject to our Website Terms of Use, Privacy Policy, Return and Exchange Policy, Shipping Policy, product instructions and warnings, and any additional terms presented at checkout. Those policies are incorporated by reference.

If there is a conflict concerning a product purchase, these Terms of Sale will control unless another policy expressly states that it controls the particular matter. You should review these Terms of Sale before placing an order.

2. Eligibility to Purchase

You must be at least the age of majority in your state, province, or country of residence to place an order.

If a product is purchased for a minor, the parent, legal guardian, or responsible adult purchasing the product is responsible for selecting the appropriate size, reviewing all instructions and warnings, supervising its use when appropriate, and ensuring that it is used safely and only as intended.

By ordering for a business, team, school, club, organization, or another person, you represent that you have authority to make the purchase and accept these Terms of Sale on their behalf.

3. Product Purpose and Intended Use

SSOLES products are slip-on covers designed to be worn over compatible athletic cleats or footwear for appropriate off-field use.

Unless SSOLES expressly states otherwise in writing, SSOLES products:

  • Are intended for walking and limited off-field use
  • Must be removed before practices, games, running, training, competition, or other athletic activity
  • Are not designed to convert athletic cleats into ordinary footwear
  • Are not intended for driving, climbing, workplace safety, or use as protective equipment
  • Are not certified slip-resistant, safety, medical, or injury-prevention devices
  • Do not eliminate every risk of slipping, tripping, falling, injury, surface damage, or damage to footwear

Customers must use the products only as directed and in accordance with the instructions and warnings supplied with them.

4. Sizing, Fit, and Compatibility

Product sizing information is general guidance. Actual fit may vary depending on the type, brand, size, shape, condition, and cleat configuration of the underlying footwear.

Before use, you must confirm that each SSOLES product:

  • Is the appropriate size for the footwear
  • Completely and securely fits over the relevant portion of the footwear
  • Is not loose, overstretched, twisted, damaged, or improperly positioned
  • Does not interfere with safe and normal walking
  • Is compatible with the particular cleat or footwear design

Do not use a product if it does not fit securely or appears unsuitable for the footwear.

Trying on, returning, or exchanging a product is governed by our Return and Exchange Policy. Products should be tried on only over clean, dry footwear and on a clean, dry indoor surface. If uncertain about fit or compatibility, contact service@ssoles.com before outdoor use.

5. Product Inspection and Safe Use

Inspect the product before each use. Do not use a product that is torn, punctured, excessively worn, distorted, deteriorated, improperly fitted, or otherwise damaged.

Walking surfaces and conditions vary. Exercise appropriate caution, particularly on:

  • Wet, oily, icy, uneven, polished, or unstable surfaces
  • Stairs, ramps, curbs, and inclines
  • Loose gravel, sand, mud, and similar surfaces
  • Any surface where the product does not provide secure contact

Stop using the product immediately if it shifts, loosens, affects your balance, or does not function as expected. Normal wear occurs over time, and useful life depends on frequency of use, walking surfaces, fit, storage, care, and other conditions.

6. Product Descriptions and Images

We make reasonable efforts to describe and display our products accurately. Product colors and appearance may vary because of photography, lighting, screen settings, manufacturing variations, and other factors.

Packaging, design details, materials, specifications, and features may be modified when reasonably necessary, provided the changes do not materially reduce the product's intended function. Measurements and sizing information are approximate unless expressly identified as exact.

If a product received materially differs from the product ordered, contact service@ssoles.com promptly.

7. Prices

Prices are displayed in the currency identified on the Website or at the point of sale. Unless expressly stated otherwise, prices exclude sales or use taxes, shipping charges, customs duties, import taxes, brokerage fees, and other governmental charges.

Applicable charges will be displayed or calculated before purchase when reasonably practicable. Prices and promotions may change before an order is accepted. A price change will not affect an accepted order except where permitted by law to correct an obvious error.

8. Promotions and Discount Codes

Promotions, discount codes, event pricing, bundles, and special offers are subject to any additional conditions presented with the offer.

Unless otherwise stated:

  • Promotions cannot be combined
  • Discount codes have no cash value
  • Discounts apply only to eligible merchandise
  • Promotions do not apply to previous purchases
  • Promotional availability may be limited
  • A promotion may be modified or discontinued before an order is placed
  • Discounts cannot be reproduced, sold, transferred, or redeemed for cash
  • Limits may apply per customer, household, order, or event

We may reject or cancel unauthorized, fraudulent, or abusive promotional use. Cancelled amounts already charged will be promptly refunded as required by law.

9. Orders and Order Acceptance

Submitting an order is an offer to purchase. An order confirmation acknowledges receipt and does not necessarily constitute acceptance. We may accept an order by sending a shipment confirmation, providing the product at an event, or otherwise expressly confirming acceptance.

We may reject or cancel an order before acceptance for legitimate reasons, including product unavailability, pricing or product-information errors, payment failure, suspected fraud, violation of purchase limits, an incomplete address, delivery restrictions, or suspected unauthorized resale.

If we cancel an order after payment has been collected, we will refund the cancelled amount to the original payment method.

10. Order Information

You are responsible for providing accurate and complete contact, billing, shipping, product, size, quantity, and payment information. Review your order carefully before submission.

Contact service@ssoles.com promptly if you discover an error. We cannot guarantee that an accepted or processed order can be changed or cancelled before shipment. We are not responsible for delays or additional expenses caused by incorrect customer information except as required by law.

11. Payment Authorization

You authorize SSOLES and its payment processors to charge the payment method provided for the purchase price, applicable taxes, shipping, and other charges disclosed and accepted before purchase. You represent that you are authorized to use the payment method.

A payment method may be authorized when an order is submitted and charged before or when the order is accepted or shipped, depending on the payment method and sales channel. Payment information may be processed by third parties under their terms and privacy practices.

12. Suspected Fraud and Chargebacks

Contact service@ssoles.com if you believe a transaction is incorrect or unauthorized. Where permitted by law, you agree to make a good-faith effort to contact us and allow a reasonable opportunity to resolve a genuine order or billing concern before initiating a payment dispute.

This does not limit rights under applicable credit card, banking, or consumer-protection laws. Fraudulent chargebacks, knowingly false disputes, unauthorized payment use, or other payment abuse may result in order cancellation, suspended purchasing privileges, or referral to payment providers or authorities.

13. Shipping and Delivery

Shipping options, charges, and available delivery estimates will be presented during checkout or communicated before purchase. Delivery dates are estimates unless SSOLES expressly guarantees a date in writing.

We will ship accepted orders within the represented time or as required by law. If we cannot ship within the promised time, or within the legally applicable period when no time is stated, we will provide any required delay notice, revised estimate, cancellation option, or refund. Orders may be shipped in multiple packages.

Our Shipping Policy is incorporated into these Terms of Sale.

14. Delivery Problems

You are responsible for providing a complete and deliverable address. If a package is returned because of an incorrect address, refusal, unsuccessful delivery, or failure to collect it, we may require reasonable reshipping costs before resending, to the extent permitted by law.

If tracking indicates delivery but you cannot locate the package, confirm the order address, inspect the delivery area, ask household members or building personnel, contact the carrier, and then notify service@ssoles.com promptly. We will reasonably assist with valid carrier claims. Refunds and replacements remain subject to investigation results and applicable law.

15. Damaged, Defective, Incorrect, or Missing Products

Inspect your order promptly after delivery. If a product arrives damaged, defective, incorrect, or incomplete, contact service@ssoles.com as soon as reasonably possible with your name, order number, a description, and photographs or other reasonable support when available.

Do not discard the product or packaging until instructed. Valid claims will be addressed under applicable law and SSOLES policies. Depending on the circumstances, a remedy may include replacement, repair, account credit, or refund. Nothing here limits nonwaivable legal rights.

16. Returns and Exchanges

Returns and exchanges are governed by the SSOLES Return and Exchange Policy posted on the Website and made available at the time of purchase. It addresses eligibility, deadlines, condition requirements, try-ons, exchanges, event purchases, final-sale items, authorization, shipping expenses, inspection, and refunds.

The Return and Exchange Policy is incorporated by reference and controls a return or exchange issue unless applicable law requires otherwise.

17. Refunds

Approved refunds will ordinarily be issued to the original payment method. Timing may depend on the payment provider or financial institution.

Original shipping and return costs are refundable only when required by law or expressly provided in the Return and Exchange Policy. For partial returns, discounts, bundle pricing, free-shipping thresholds, and promotional benefits may be recalculated as described in that policy.

18. Event and In-Person Purchases

Products purchased at tournaments, games, exhibitions, pop-ups, or other events remain subject to these Terms of Sale and the Return and Exchange Policy provided or identified at the point of sale.

Customers should verify size and fit before leaving an event when try-on is available. Trying on a product does not eliminate rights concerning a genuinely defective or incorrect product. Proof of purchase may be required for assistance.

19. Care and Storage

Follow all care, cleaning, storage, and usage instructions supplied with the product.

Unless instructions state otherwise:

  • Clean only using recommended methods
  • Allow the product to dry properly before storage
  • Keep it away from excessive heat, flame, harsh chemicals, and sharp objects
  • Do not cut, puncture, alter, or modify it
  • Store it in a clean and dry environment

Damage from improper cleaning, storage, alteration, misuse, or ordinary wear is not a manufacturing defect.

20. Resale and Commercial Use

Products are intended for personal use unless SSOLES approves a commercial or wholesale arrangement in writing. You may not purchase for unauthorized resale, redistribution, export, or commercial exploitation.

You may not represent yourself as an authorized dealer, use SSOLES marks or marketing without permission, sell counterfeit or misrepresented products, alter warnings or labels, or make unauthorized warranties on behalf of SSOLES. We may limit quantities or decline apparent unauthorized-resale orders.

21. Product Warranties

Unless a separate written SSOLES warranty is provided with a product or made available before purchase, SSOLES does not provide an additional voluntary written product warranty beyond rights and warranties provided by applicable law.

Statements in advertisements, descriptions, packaging, or instructions apply according to their specific language and context. No employee, contractor, event representative, reseller, or other person may modify or create a warranty for SSOLES unless provided in writing by an authorized SSOLES representative.

Any separate written warranty will identify coverage, period, exclusions, remedies, service procedure, and required consumer-rights disclosures. Nothing here excludes an express warranty or right that cannot legally be excluded.

22. Disclaimer of Warranties

This disclaimer does not apply to fraud, willful misconduct, defective-product liability, personal injury caused by a legally actionable defect, or rights that cannot legally be waived. Where exclusions are prohibited, they apply only to the extent permitted.

23. Limitation of Liability

These limitations do not apply to fraud, willful misconduct, gross negligence, death or personal injury where liability cannot be limited, property damage caused by a legally actionable defect, breach of an applicable written warranty, nonwaivable consumer rights, or any liability that cannot legally be limited. Where limitations are prohibited, they apply only to the extent permitted.

24. Indemnification

To the extent permitted by law, you agree to indemnify and hold SSOLES harmless from third-party claims, damages, losses, and reasonable legal expenses resulting from your intentional product misuse, alteration or unauthorized resale; violation of law; infringement of another person's rights; material violation of these Terms; or unauthorized representations about SSOLES.

This obligation does not require you to indemnify SSOLES for its negligence, willful misconduct, unlawful conduct, or defective products.

25. Force Majeure

SSOLES will not be responsible for delay or failure caused by circumstances beyond its reasonable control, including severe weather, disasters, fire, flood, war, terrorism, civil unrest, labor or transportation disruption, carrier failure, government action, public health emergencies, outages, or supply shortages.

This section does not excuse any refund, cancellation right, delay notice, or other remedy required by law.

26. International Orders

International orders may be subject to customs duties, import taxes, brokerage fees, restrictions, and local requirements. Unless stated otherwise at checkout, the customer is responsible for destination-country import charges.

We may decline orders where shipping is unavailable, restricted, unlawful, or commercially impracticable. These Terms do not exclude mandatory consumer rights in the customer's country of residence.

27. Changes to These Terms of Sale

We may revise these Terms to reflect changes in our products, policies, practices, or law. Revised Terms will be posted with an updated Effective Date.

The version in effect when an order is placed will ordinarily govern that transaction. Changes will not retroactively alter an accepted order or existing dispute unless permitted by law and expressly agreed.

28. Governing Law and Venue

These Terms are governed by Florida law, without regard to conflict-of-law principles. Subject to nonwaivable rights, proceedings arising from these Terms or a purchase must be brought in the state courts in Palm Beach County, Florida, or the federal court having jurisdiction over Palm Beach County.

Nothing here deprives a consumer of mandatory protections applicable in the consumer's state, province, or country of residence.

29. Severability

If any provision is invalid, illegal, or unenforceable, it will be enforced to the maximum extent permitted. The remaining provisions will continue in effect.

30. No Waiver

If SSOLES does not immediately enforce a provision, that does not waive later enforcement. A waiver is effective only if written and signed by an authorized SSOLES representative.

31. Assignment

You may not assign or transfer your rights or obligations without our prior written consent. SSOLES may assign these Terms in connection with a merger, acquisition, restructuring, asset sale, or business transfer, subject to law.

32. Entire Agreement

These Terms, incorporated policies, and additional terms accepted at checkout constitute the entire agreement concerning the applicable purchase. They do not replace the Website Terms of Use, which separately govern use of the Website.
